Agreement
These Terms of Service (“Terms”) govern your access to and use of Tracen’s websites, email interfaces (including addresses such as check@tracenaudit.com), dashboards, APIs, and related services (collectively, the “Services”). By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
The Services
Tracen provides automated and assisted analysis of email content to surface potential risk signals related to payments and impersonation. Output may include suggested next steps. The Services are provided for informational and operational assistance only. They are not a substitute for independent verification, financial controls, legal review, or human judgment.
No professional advice; no guarantee
Tracen does not provide legal, accounting, insurance, or investment advice. Risk assessments and replies may be incomplete or incorrect. You remain solely responsible for payment decisions and for verifying requests through trusted channels. We do not warrant that the Services will detect all fraud, phishing, or malicious activity, or that they will meet your requirements or operate without interruption.
Acceptable use
You agree not to:
- Use the Services in violation of law or third-party rights
- Attempt to probe, scan, or compromise our systems, or bypass security or usage limits
- Send content you are not authorized to share, or use the Services to harass, defraud, or harm others
- Reverse engineer non-public aspects of the Services except where prohibited restrictions are unenforceable under applicable law
Your content
You retain rights in materials you submit. You grant Tracen a non-exclusive license to host, process, transmit, and display such materials solely as needed to provide and improve the Services and comply with law. You represent that you have the rights necessary to submit the content you provide.
Third-party services
The Services may integrate with or rely on third-party providers (for example, authentication, hosting, or email delivery). Their terms and privacy practices apply to their offerings.
Pilot and enterprise programs
Some features may be offered under separate written agreements, order forms, or pilot terms. If there is a conflict between these Terms and a signed agreement specific to your organization, the signed agreement controls for that relationship.
Suspension and termination
We may suspend or terminate access to the Services for violation of these Terms, risk to security or others, or as required by law. You may stop using the Services at any time. Provisions that by their nature should survive will survive termination (including disclaimers, limitations of liability, and governing law).
Limitation of liability
To the fullest extent permitted by law, Tracen and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to the Services or these Terms. Tracen’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid Tracen for the Services in the twelve months before the claim or (b) one hundred U.S. dollars (US$100), except where limited by applicable law. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum permitted by law.
Indemnity
You will defend and indemnify Tracen against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your misuse of the Services, your content, or your violation of these Terms, except to the extent caused by Tracen’s gross negligence or willful misconduct.
Dispute resolution
Before filing a claim, you agree to contact us at hello@tracenaudit.com to try to resolve the dispute informally. If informal resolution fails, except where prohibited by law, you agree that disputes will be resolved in the courts located in the United States in a venue we designate, and you consent to personal jurisdiction there.
Changes to these Terms
We may modify these Terms by posting an updated version on this page. Continued use after the effective date constitutes acceptance of the revised Terms. If we make material changes, we will take reasonable steps to notify you where contact information is available.
General
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. If any provision is unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and Tracen regarding the Services and supersede prior statements on the same subject.
